Terms of Service

These Terms of Service ("Terms") govern your use of BuyDirectFromUSA.com (the "Service") operated by BuyDirectFromUSA Inc., a U.S.-registered company ("we", "us", "our"). By using the Service you agree to these Terms.
1. What We Do
We are a sourcing concierge. We help international buyers procure products from U.S. suppliers. We accept payment from the buyer, place orders with U.S. suppliers, consolidate goods at our New York warehouse, and ship internationally. We act as a principal in the transaction (we buy from the supplier and resell to the buyer), not as an agent. This means each party (supplier and buyer) deals with us directly under U.S. law.
2. Eligibility
You must be at least 18 years old and able to enter a binding contract. Suppliers must be lawfully established U.S. businesses. Buyers must be of legal age in their country of residence and must not be on any U.S. sanctions list.
3. Account & Security
You are responsible for keeping your login credentials safe. Notify us promptly of any unauthorised use. We are not liable for losses caused by compromised credentials you failed to protect.
4. Quotes, Orders, and Pricing
- Quotes are estimates based on listed prices, weights, and shipping rates available at the time of quote. They become binding only when both parties accept and payment is completed.
- Final invoices may differ from estimates due to currency fluctuations, supplier price changes, weight differences on inspection, or destination customs/duties.
- You are responsible for any duties, taxes, or import fees imposed by the destination country, unless we have explicitly quoted them inclusive.
5. Payment
- Payment is due in U.S. dollars (USD) before we place the order with the supplier, unless we have agreed otherwise in writing.
- We accept payments through Stripe and bank transfer. We never store your full card number.
- Buyer payments are held in escrow until the supplier confirms shipment to our warehouse and goods clear our incoming inspection.
6. Refunds and Cancellations
- Before supplier order placed: Full refund minus any non-refundable processing fee (typically 3% to cover payment processor costs).
- After supplier order placed but before shipment: Refund of the supplier-quoted amount minus any non-refundable supplier deposit, payment processing fee, and our service work to date.
- After goods ship to our warehouse: Refunds depend on supplier return policy. We will negotiate the best outcome on your behalf, but we cannot guarantee a full refund once goods have been produced or shipped.
- After international shipment: Returns are generally not possible due to cost. Disputes are handled per Section 8.
7. Shipping, Delivery, and Risk
- We arrange international shipping via a licensed freight forwarder. Title and risk of loss pass to the buyer at the time of departure from our New York warehouse, unless we have agreed to deliver duty-paid (DDP) terms in writing.
- Estimated delivery times are good-faith estimates only and not guaranteed.
- If goods are damaged in transit, the buyer must notify us within 7 days of delivery with photos and the unopened packaging available for inspection. We will assist with insurance claims through the carrier.
8. Disputes Between Buyer and Supplier
When a dispute arises between a buyer and a supplier, we mediate. Both parties agree to provide truthful information, photographs, and shipping documentation. We will use commercially reasonable efforts to resolve the dispute within 30 days. If unresolved, escrowed funds will be released or refunded according to our reasonable determination based on the evidence.
9. Prohibited Items
You may not use the Service to purchase or sell items prohibited by U.S. or destination-country law, including but not limited to: firearms, ammunition, controlled substances, hazardous chemicals, counterfeit goods, ivory or endangered-species products, or items violating any sanctions program. We reserve the right to cancel any order that violates this section without refund of fees paid for service work performed.
10. Service Availability
We provide the Service on an "as is" and "as available" basis. We do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or relating to the Service is limited to the amount you paid us for the specific transaction giving rise to the claim, capped at USD 5,000 in aggregate over any rolling 12-month period. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunity.
12. Indemnification
You agree to indemnify and hold us harmless from any claim arising out of your violation of these Terms, your violation of any law, or your infringement of any third-party right.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to that jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email or a notice on the site at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
